Explanatory Note

This Registration Statement on Form F-6 is being filed and the American depositary shares (“ADSs”) are being registered in order to accommodate the issuance of additional ADSs upon the deposit of Class A ordinary shares of NIO Inc.

This registration statement may be executed in any number of counterparts, each of which shall be deemed an original, and all of such counterparts together shall constitute one and the same instrument.
